Worth knowing before you choose
Your own address will not do
It has to be in the state of formation and staffed in business hours. A home address abroad, a mail-forwarding box, or a virtual office generally does not satisfy the requirement. The four addresses people confuse.
Delaware tightened the rules in 2025
Delaware now explicitly bars agents from operating purely through a virtual office or mail-forwarding service, and requires identity verification and periodic sanctions screening of the companies they serve.
A lapsed agent is quietly fatal
If the appointment lapses, official notices go undelivered. Companies routinely discover this only when they are already out of good standing.
