Taxes & compliance

Never miss a filing you did not know about.

A US company creates filing obligations from the day it exists, whether or not it trades. Miss one and the penalties arrive long before anyone tells you what you did wrong. This plan puts the whole calendar in someone else’s hands.

The three that catch people

Form 5472

A foreign-owned single-member LLC must file Form 5472 with a pro-forma 1120 every year, even at zero income. The penalty is $25,000 per form, per year. This is the single most expensive thing founders miss. How the penalty actually works.

Annual state reports

Separate from tax. Miss them and the state can administratively dissolve your company, usually without you noticing until something else fails.

Zero revenue is not zero obligation

“We did not trade this year” is not an exemption. The filings are still due, and the penalties still apply.

Everything else your US company needs

How this works. NameMarshal is not a law firm or an accountancy practice, and nothing on this page is legal or tax advice. Tax filing and compliance are delivered through NameMarshal's formation and filing network. Foreign-owned US LLCs generally have to file Form 5472 with a pro-forma Form 1120 every year, even with no income, and the penalty for missing it is steep. Ask us and we will point you at someone licensed to handle it.
